1. Acceptance of Terms
By accessing or using Prime AI Team ('the Service'), operated by NextGenOra ('the Company', 'we', 'us', or 'our'), you agree to be bound by these Terms of Service. If you are using the Service on behalf of a business or other legal entity, you represent that you have the authority to bind that entity to these terms. If you do not agree to these terms, you must not use the Service.
2. Description of Service
Prime AI Team, a product of NextGenOra, provides a platform for businesses, teams, and individuals to access, deploy, and interact with professional AI agents. Agents generate documents, presentations, spreadsheets, media, analysis, and other deliverables based on user inputs. All generated outputs are stored in your secure workspace asset vault.
3. Nature of AI Agents — Supplementary Tools
AI agents on this platform are sophisticated productivity tools designed to supplement and enhance professional work. They are not licensed professionals and do not replace the judgment, expertise, or services of qualified human professionals in any field — including but not limited to law, medicine, finance, accounting, tax, insurance, real estate, mental health, pharmacy, veterinary care, immigration, or any other regulated profession. The agents provide information, analysis, and generated content to help professionals work faster and help individuals make more informed decisions. Users are solely responsible for how they use, interpret, and act on AI-generated outputs.
4. Accounts & Registration
You must create an account to use the Service. You are responsible for maintaining the security of your credentials and for all activity under your account. You must provide accurate information during registration and keep it current.
5. Subscriptions & Billing
Access to AI agents requires an active subscription. Plans are billed monthly or annually. You may cancel at any time; access continues until the end of the billing period. Refunds are issued at our discretion for annual plans within 14 days of purchase. Pricing is subject to change with 30 days' notice.
6. Acceptable Use
You may not use the Service to generate content that is illegal, harmful, misleading, or violates third-party rights. You may not attempt to reverse-engineer AI models, scrape the platform, or use automated tools to access the Service beyond its intended interface. You may not represent AI-generated outputs as the work product of a licensed professional without independent review by such a professional. We reserve the right to suspend accounts that violate these terms.
7. Intellectual Property
Content you create through the Service belongs to you or your business (or other entity you represent). Prime AI Team retains rights to the platform, agent profiles, design system, and underlying technology. You grant us a limited license to process your inputs solely for generating outputs within the Service.
8. Data & Privacy
Your data is stored securely with enterprise-grade infrastructure and row-level access controls. We do not sell your data. Business context and memory are private to your workspace. See our Privacy Policy for full details.
9. No Professional Advice Disclaimer
NOTHING IN THIS SERVICE CONSTITUTES PROFESSIONAL ADVICE. All outputs — including legal analysis, financial models, medical information, tax guidance, insurance recommendations, and any other domain-specific content — are generated by artificial intelligence and are provided for informational and productivity purposes only. You acknowledge that: (a) AI-generated outputs may contain errors, omissions, or outdated information; (b) you are solely responsible for independently verifying any information before relying on it; (c) you should consult qualified, licensed professionals before making decisions in regulated fields; and (d) use of the Service does not create any professional-client relationship between you and Prime AI Team or its AI agents.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEXTGENORA, PRIME AI TEAM, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES ARISING FROM YOUR USE OF THE SERVICE OR RELIANCE ON AI-GENERATED OUTPUTS — REGARDLESS OF THE THEORY OF LIABILITY. All outputs are provided 'AS IS' and 'AS AVAILABLE' without warranties of any kind, whether express, implied, or statutory, including but not limited to warranties of accuracy, completeness, fitness for a particular purpose, or non-infringement. Our total aggregate liability for any claims arising under these Terms shall not exceed the total fees you paid to Prime AI Team in the twelve (12) months immediately preceding the event giving rise to the claim.
11. Indemnification
You agree to indemnify, defend, and hold harmless NextGenOra, Prime AI Team, and their respective officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to: (a) your use of the Service; (b) your reliance on AI-generated outputs; (c) any decisions or actions you take based on information provided by AI agents; (d) your violation of these Terms; or (e) your violation of any applicable law or regulation.
12. Assumption of Risk
You acknowledge and agree that the use of AI-generated content in professional, legal, medical, financial, or other regulated contexts carries inherent risks. You voluntarily assume all risks associated with using the Service and agree that neither NextGenOra nor Prime AI Team shall be held liable for any outcomes resulting from your use of or reliance on AI-generated outputs. It is your responsibility to exercise independent judgment and, where appropriate, seek the advice of qualified professionals.
13. Termination
We may suspend or terminate your account for violations of these terms. You may delete your account at any time through Settings. Upon termination, your data is retained for 30 days to allow export, then permanently deleted.
14. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in Wilmington, Delaware. You waive any right to participate in class action lawsuits or class-wide arbitration against NextGenOra or Prime AI Team.
15. Severability
If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. The unenforceable provision shall be modified to the minimum extent necessary to make it enforceable while preserving its original intent.
16. Changes to Terms
We may update these Terms from time to time. Material changes will be communicated via email or in-app notification at least 14 days before taking effect. Continued use after changes constitutes acceptance.
